These Affiliate Program Terms (the "Terms") govern participation in the Consentmo Affiliate Program (the "Program"), operated by iSenseLabs Ltd., doing business as Consentmo, UIC 112660079, VAT BG112660079, with registered address at 4 Prof. Georgi Bradistilov St., entrance A, 4th floor, 1700 Sofia, Bulgaria ("Consentmo", "we", "us").
By applying to, joining, or participating in the Program, using an affiliate link, submitting a referral, or requesting a commission payment, you ("Affiliate", "you") agree to these Terms. If you participate on behalf of a company, you confirm that you have authority to bind it.
Your participation is also subject to our Privacy Policy and, when you use Shoffi, Shoffi's own terms and privacy policy. A separate written agreement with Consentmo controls if it conflicts with these Terms.
1. Joining the Program
You must be at least 18 years old, provide accurate information, and maintain an active Shoffi account in good standing. We may approve or reject any application based on whether the applicant and its promotional channels are suitable for the Program. Approval is personal to you or your approved company and cannot be transferred without our written permission.
The Program is administered through Shoffi, a third-party platform operated by Avit Tech, LLC. Shoffi provides registration, attribution, commission records, and withdrawal requests. Shoffi is not a party to these Terms. We may replace the platform with reasonable notice if the change materially affects Affiliates.
Except in the case of a clear and demonstrable error, Shoffi's records determine referral attribution, commissionable transactions, and commission calculations.
2. Referrals and attribution
A "Referred Merchant" is a new Consentmo merchant attributed to you through an approved affiliate link, or through another referral method approved by Consentmo and recorded in the Program.
Shoffi currently uses a 30-day attribution window. A merchant generally must follow your affiliate link and install Consentmo from the same device within that period. A manually submitted referral qualifies only if Consentmo approves it and the Program assigns it to you.
A referral does not qualify if the merchant previously installed or used Consentmo; the referral belongs to another source under Shoffi's records; it comes from your own or a controlled store without our written approval; or it is fraudulent, artificial, duplicated, canceled, refunded, reversed, or created mainly to generate commission.
Referrals validly attributed to you under the Program's previous platform and imported into the Program by Consentmo retain their original attribution and remaining commission period, and are not treated as prior installations under this section.
Tracking may be affected by consent choices, browser settings, device changes, private browsing, deleted cookies, or other technical limitations. We do not guarantee that every visit, installation, or transaction can be tracked.
3. Commissions and payments
Under the standard public Program offer, an approved Affiliate earns 20% of Commissionable Revenue from each Referred Merchant during the 12-month commission period shown in the Program.
"Commissionable Revenue" means app revenue recorded by Shoffi from eligible Consentmo transactions attributed to you. It excludes taxes, refunds, reversals, chargebacks, credits, uncollected amounts, fraudulent transactions, and amounts that Shoffi or Shopify does not record as eligible app revenue. No further commission accrues after the 12-month period ends, after a Referred Merchant stops paying for or uninstalls Consentmo, or after the referral becomes inactive.
We may offer different rates, periods, minimum withdrawal amounts, or eligible transaction types to a particular Affiliate or group. Specific commercial terms expressly accepted in the Program or agreed in writing control over the standard offer.
A pending commission is not earned or payable until the transaction is validated. Once you reach the minimum withdrawal amount shown in the Program, you may request payment through the platform using the payment details stated in the request, which may include PayPal. You must provide accurate payment, identity, tax, and invoice information when requested, and you are responsible for all taxes arising from your commissions.
We may cancel, deduct, or request repayment of any commission connected to an ineligible, refunded, reversed, fraudulent, or incorrectly attributed transaction. Commission disputes must be sent to support@consentmo.com within 30 days after the relevant transaction, adjustment, or payment appears in the Program.
4. Promotion and disclosures
You must promote Consentmo honestly and comply with applicable advertising, privacy, consumer-protection, electronic-communications, and intellectual-property laws.
You must clearly disclose your financial relationship with Consentmo close to every endorsement, affiliate link, or affiliate code. An acceptable example: "I may earn a commission if you install or purchase Consentmo through this link."
You must use accurate, current information and approved promotional materials. You must not state or imply that Consentmo is a law firm, provides legal advice, automatically guarantees compliance, guarantees avoidance of fines or enforcement, or holds a certification or regulatory status not confirmed in Consentmo's current official materials. You must promptly correct or remove content that we reasonably identify as inaccurate, outdated, misleading, or unlawful.
5. Prohibited conduct
You must not:
- contact merchants or prospective merchants with misleading, threatening, or fear-based claims about their legal compliance — including unsolicited "violation", "audit", or "penalty" notices — or misrepresent the results of any scan or review of their store, in order to solicit an installation or claim a referral;
- claim credit or demand commission for installations or referrals you did not genuinely originate;
- make self-referrals or create fake, duplicate, temporary, or non-operational stores or accounts;
- use cookie stuffing, forced clicks, misleading redirects, bots, automated traffic, fake engagement, or tracking interference;
- send spam or use purchased, scraped, or unlawfully obtained contact lists;
- publish unauthorized coupons, rebates, or incentives, or use coupon or deal sites, without our written approval;
- use paid advertising to promote an affiliate link without our written approval, or bid on "Consentmo", "iSense", "iSenseLabs", related trademarks, or confusing misspellings;
- register or use domains, social accounts, advertisements, or pages that impersonate Consentmo or suggest an official relationship that does not exist;
- copy or imitate our website, app, or materials, or frame them within another site;
- transfer, resell, or share your affiliate account, links, referrals, or commissions without permission;
- make commitments, warranties, refunds, support promises, or legal claims on Consentmo's behalf;
- collect or disclose personal data without a lawful basis and required notices; or
- encourage or assist another person to do any of these things.
You also must not scan, probe, penetration-test, tamper with, circumvent, or attempt unauthorized access to Consentmo, Shoffi, Shopify, or related systems or non-public data, except under prior written authorization or a separately published vulnerability disclosure policy.
Potential vulnerabilities must be reported to security@consentmo.com. Stop testing if you encounter personal data, confidential information, unintended access, or disruption, and do not retain, use, or publicly disclose information obtained.
Submitting an unsolicited security report does not create a right to payment or reward unless Consentmo agreed to compensation in writing beforehand. Threatening exploitation or disclosure, or conditioning non-disclosure on payment, is outside any authorization provided by Consentmo and is grounds for immediate termination and referral to relevant service providers or authorities.
6. Consentmo branding
While you remain approved, we grant you a limited, revocable, non-exclusive, non-transferable right to use approved Consentmo names, logos, links, and materials solely to participate in the Program. You may not alter our materials or imply that you are our employee, agent, legal representative, or exclusive partner. You must stop using them when your participation ends or when we request it.
7. Privacy and confidentiality
For the Program, Consentmo may process your name, business name or nickname, email address, Shoffi account information, approved channels, referral activity, installations, attributed transactions, commissions, payment status, invoices, tax information, and communications.
We use this information to evaluate applications, run the Program, verify referrals, calculate and pay commissions, communicate with Affiliates, prevent fraud, resolve disputes, and comply with law. Our legal bases include performance of these Terms, our legitimate interests in operating and protecting the Program, and legal obligations. Shoffi processes information needed to provide its platform under its own privacy policy. Further information and your rights are described in our Privacy Policy. Non-public product, merchant, commercial, security, or technical information shared with you must be kept confidential and used only for the Program.
8. Suspension and termination
You may leave the Program at any time. We may suspend links, place affected commissions on hold, restrict activity, or terminate participation if we reasonably believe that you breached these Terms; that activity may be fraudulent, misleading, unlawful, or incorrectly attributed; that your information cannot be verified; that your activity creates security, legal, financial, compliance, or reputational risk; or that action is required by law, Shoffi, Shopify, a court, or a regulator.
Where practicable, we will provide notice and an opportunity to explain or correct the issue. We may act immediately in cases of fraud, impersonation, security abuse, unauthorized access, threats, deliberate deception, serious legal violations, repeated breaches, or urgent risk.
After review, we may restore participation, require corrective action, reject or reverse affected commissions, or terminate participation.
If you leave the Program voluntarily, or if we terminate your participation for reasons other than your breach of these Terms, commissions on your existing Referred Merchants continue to accrue and remain payable for the remainder of their applicable commission periods, subject to the withdrawal and validation rules in Section 3. If we terminate your participation for fraud, prohibited conduct, or another material breach, no new commission accrues after termination, and commissions connected to the breach may be rejected or reversed. Valid, earned, and undisputed commissions unconnected to any breach remain payable.
9. Changes to the Program
We may update these Terms or the Program and will post updated Terms with a new "Last updated" date. If a change materially affects your rights or obligations, we will provide notice through Shoffi, email, or our website at least 30 days before it takes effect, unless a shorter period is required by law or necessary to address fraud, abuse, or security risk.
Commission changes apply prospectively and do not invalidate commissions already earned from valid transactions. Continuing to participate after updated Terms take effect constitutes acceptance. If you do not agree, you must leave the Program before the change takes effect.
10. Relationship, liability, and responsibility
You participate as an independent contractor. These Terms do not create an employment, agency, partnership, franchise, joint venture, fiduciary, or exclusive relationship. You have no authority to bind Consentmo and are responsible for your own activities, expenses, personnel, registrations, and taxes.
The Program, Shoffi, affiliate links, and reporting are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted tracking, any number of referrals or commissions, or any particular result.
To the fullest extent permitted by law, Consentmo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or opportunities. Consentmo's total aggregate liability arising from the Program is limited to the commissions paid or validly payable to you during the 12 months preceding the event giving rise to the claim. Nothing limits liability that cannot lawfully be limited.
To the extent permitted by law, you will indemnify Consentmo and its personnel against third-party claims, losses, penalties, and reasonable costs arising from your promotional content, your infringement of another person's rights, your violation of law, or your material breach of these Terms.
11. Governing law and general terms
These Terms are governed by Bulgarian law. Before formal proceedings, the parties will attempt to resolve disputes informally through support@consentmo.com. Unresolved disputes are subject to the exclusive jurisdiction of the competent courts of Sofia, Bulgaria, unless mandatory law requires otherwise.
Either party may seek urgent court relief to prevent fraud, unauthorized use of intellectual property, security abuse, misuse of confidential information, or other irreparable harm. To the extent permitted by law, disputes will be resolved individually and not as part of a class, collective, representative, or consolidated action.
If a provision is invalid or unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, sale of assets, or change of control.
These Terms, the commercial terms accepted in Shoffi, the Consentmo Privacy Policy, and any separate written affiliate agreement form the entire agreement concerning the Program.
